    Good Technology Investors Sue J.P. Morgan, Claiming Conflicts

    Shareholders in Good Technology, a mobile security software maker, are suing J. P. Morgan for breach of fiduciary duty, in a case that highlights how start-up decisions can be influenced by an investment bank.

    According to an amended lawsuit filed on Thursday in Delaware Chancery Court, shareholders of Good said J. P. Morgan was deeply conflicted in its dealings with the company. That led the start-up to sell itself to BlackBerry last year at a fire-sale price.

    Good was being advised by J. P. Morgan at the same time that BlackBerry was also being advised by the bank, according to the amended complaint. J. P. Morgan’s need to maintain a business relationship with BlackBerry, which was the larger company, spurred the bank to put that relationship above the one with Good, according to the amended complaint.

    Good, which was at one time valued at around $1 billion by its private investors, sold to BlackBerry for only $425 million last year, even though documents obtained by The New York Times show that other suitors had made higher offers.

    The defendants “pushed incompatible self-interested agendas about how or when to obtain desperately needed financing for Good, and how or when to sell Good,” according to the amended complaint.

    A J. P. Morgan spokesman declined to comment.

    The amended complaint is part of long-running suit that Good’s shareholders originally filed last October, in which they say that the Silicon Valley company suffered “an extraordinary governance breakdown.”

    The suit had already named Good’s directors and senior executives as defendants, stating that the board and executives had breached their fiduciary duties because they had conflicts that led them to act in their own best interests rather than in the best interests of the company.

    You are so right, the deal closes post Q2 so the portion that hadn't occurred in Q2 carries into Q3 (he already closed on $ 5 MM worth of bonds). The part that interests us the most is the speed at which Chen felt he needed to go to get those bonds off the market. Everyone thought he would wait until the first due date but he has other plans. Secondly, why take on expensive debt when you already have cash and credit to run a very successful business? It closes today so next week we learn more about the success of the deal and that's when the speculation can begin. GL

    If there's one stock more frustrating than BBRY, it's APPL. Their stock goes up 10% because revenue "only" fell 27% instead of the forecasted 30%.

    And now, the tax man finally catches up to them (what took so long?) In the amount of $15b, and the share price goes... up!?

    I will admit, I root against Apple, as I feel they are the epitome of what is wrong with the western world. Immune to reality because they're "ssooo cool!"

    I'm not mentioning any names here but this guy needs to beach that sailboat and help us out here! I know he would post the Bollinger Bands for BBRY and show everyone that we are about to make another leg up from here. The stock was over-bought, it then fell to the lower end of the bands which have tightened, RSI is down to a level that will allow the stock to go on another run here. The general market looks good, we are into another quarter, everyone will come back from "boating" and start to trade again.
