These moves will pay dividends in the longer run.

The only benefit would be to get the players from GS and MS on board. That is what I though of with the Good acquisition, as a big hitter from MS is on the BOD for Good.

I would look at it a bit differently, perhaps rewording the question to include "How much cash and debt should Chen consider spending/taking on through acquisitions?" In every instance where Chen can buy something that can be self-supporting and carry its own debt, he should broaden his scope to include financing. Sure, he needs to service $ 300 MM in LTD and pay $ 75 MM annually for Convertable Bond interest, but aside from that. Many companies carry their own operatiing credit and some debt that is easily serviced from within. This makes the true amount of funds available to purchase other entities somewhat higher that then cash on hand. The third point I would make is that they should not be afraid to spin off certain assets from an acquisition thus allowing them to think big and cherry pick sectors that show immediate bottom line growth and sell off assets that create value plus spun off propositions. I hope he continues to shop for assets for many years to come and not feel he needs to preserve a certain amount of cash to leave the market believing BlackBerry needs a cushion to survive. The majority of companies operate on far less cash to asset ratios than BlackBerry has right now. As we see BlackBerry begin to grow in at least one sector, cash is less important and acquisitions that accelerate growth are more important. I think he feels very comfortable spending at least $ 1 B of the cash on hand and the market will support additional spending when it translates into EPS. I wish he would shop for some very large assets, far beyond the cash balance today, in the years to come, and back that aggression up with bottom line growth to vindicate each decision. There are countless examples of companies growing through acquisition and Chen is well aware that some assets are so depressed that he can step in and take what he needs to succeed.
I, like many, don't see the point in going after MOBL, it was an either, or, situation and they have so few patents that I don't see any value in their assets. The true test is what kind of reaction we get from the new and improved BlackBerry against MOBL in the field environment. We probably need less than a year to see how things will pan out in that regard.
Let's see BB revenues flatten out, perhaps start to grow and then use that positive cash-flow to grow the business, the cash can be used to buy back shares later, it's not that critical of an asset once the company begins to turn around.Last edited by morganplus8; 09-05-15 at 07:09 PM.

Cheers,09-05-15 07:24 PMLike 10 - One really good thing about the Good Technology acquisition is that it'll make the BES12 customers that forced BlackBerry to create BES12 perpetual licenses, pay up again sooner than they (the customers) wanted to. As soon as the acquisition is closed, BlackBerry's and Good's engineers will be working hard at creating an integrated offering that both BES and Good customers can upgrade to. A new offering that will offer stronger Android, iOS and BB10 management than either company offers today.
The short-sighted customers who bought perpetual licenses won't get access to any of that goodness without buying new licenses. I say "short-sighted," especially for the BES12 customers who demanded it, because in the post-Snowden, post-BEAST, post-POODLE, post-whatever-recent-security-vulnerability-I-failed-to-mention-era, locking yourself out of software upgrades is just plain stupid. Back in the BES5 days and prior, it might've made sense because BlackBerry took years before introducing new major versions of BES. In today's world, where very severe vulnerabilities are being found with alarming frequency in critical and near universally-used security protocols, perpetual licenses don't make sense. They also don't make sense for a vendor that is in "transition-mode" and making critical changes in its software offerings.

What's it worth? it's worth what someone is willing to pay for it... if I were BlackBerry I would not bail them out.... and just focus on integrating Good Technology ASAP into the total MDM BlackBerry offering... momentum will drive BlackBerry growth upwards as the leader, and conversely small players in the space, like MOBL. (IMO), will see their base shrink steadily.

TORONTO � BlackBerry Ltd. on Friday said it plans to make its biggest purchase to date by buying Sunnyvale, Calif.-based rival Good Technology Corp. for US$425 million in cash, adding to a handful of recent acquisitions made during the past year to fortify and fill gaps in its nascent software business faster than if it tried building similar solutions and customer lists from scratch.
The Waterloo, Ont.-based company said in a release it expects the transaction, which is subject to regulatory approval, to close late in its third quarter. As of May 30, BlackBerry held US$1.2 billion in cash and cash equivalents. Since then, it bought San Mateo, Calif.-based AtHoc Inc. for an undisclosed sum.
BlackBerry, which has focused on securing devices, would gain more than 160 issued patents if it succeeds in acquiring Good and it would also make inroads into areas in which its performance has been lagging. It will add key accounts in the banking, aerospace and defence verticals, bolster its security of mobile apps, refine its cross-platform offerings and improve its sales network. Notably, 64 per cent of Good�s activations are for a device running Apple Inc.�s iOS, a critical area in which BlackBerry has had limited penetration.
During a conference call Friday with analysts and investors, BlackBerry CEO John Chen said the marriage �perfectly fits� for various reasons, including that both companies have security in their DNA. �We do MDM (mobile device management) well,� he added. �They do application management analytics well.�
Shares of BlackBerry jumped as much as five per cent in early morning trading in Toronto, but fell later in the day 1.7 per cent to $9.69 at 2:45 pm ET. The stock has fallen 23.9 per cent so far in 2015.
Good, which serves more than 6,200 organizations in 189 countries with its mobile security solutions, filed IPO plans in May 2014 but postponed the offering amid worsening market conditions. In fiscal 2014, Good posted sales of US$211 million and a net loss of US$95.4 million, according to filings. Chen said 80 per cent of Good�s sales are attributed to recurring billings, up from 58 per cent in 2014, rather than perpetual.
BlackBerry expects to realize an estimated US$160 million in GAAP earnings from Good in the first year, including the impact of an anticipated writedown of certain deferred revenue and, according to Chen, a writeoff of what�s left to amortize from the US$267.5-million licence payment BlackBerry was forced to pay Good�s predecessor to settle a long-running patent battle. It was to be amortized through 2019.
Christy Wyatt, Good�s chief executive who was not present on Friday�s call, described how Good and BlackBerry took varying approaches to security during an interview with the Financial Post in May.
�I�m not trying to pull in a device agenda or desktop agenda,� she said. �I don�t force customers to make infrastructure decisions. I have one focus: to secure your data no matter what device it lands on, and we�re going to make that very useable for end users. And we tend to be pretty good at it.�
Chen said as much Friday. The turnaround specialist has promised to more than double sales of BlackBerry�s software division in fiscal 2016 to US$500 million and the acquisition of Good, like the others, propels him closer to what has been seen by some analysts as a lofty goal. He might not be done shopping, either.
�We�re continuing to look at opportunities that fit with our strategy,� Chen said, �however, in the near term, expect our focus to be on the smaller, tuck-in category.�09-06-15 09:33 AMLike 19 - It is interesting that a significant number of the announcements lately quietly reference IOT. I think Chen will cut the hardware group some slack until the IOT strategy is in place. That strategy could very likely include a hardware component.
I know a lot of people on this thread think an acquisition of Sierra Wireless would be a good idea. I don't disagree with the concept but it would need to be timed with the roll out of the IOT strategy. Another alternative I might prefer is a strategic alliance with SW or Telit. This would be similar to the handset deals with Qualcomm just focused at a bigger space.
I really think this is where BlackBerry is going to resurface as a world leader.

The most interesting part, in the waiting to know how this actually takes place in reality, is IF BlackBerry has settled an agreement with Google (this is nowhere to be seen as of date) this may prevail something even bigger. I can't imagine Google bending or even adaptating the rules just for the beauty of it ...
Again, only "thinking out loud" over a rumor ...
