By BES remaining on the same server, I assume you mean that the same server your current BES in on? That's a tougher way to go, while you didn't mention the server OS version are you at least on MS Server 2008?
New server, either hardware or VM based would be a better way to start, RIM offers a server migration kit to assist in such but by having a "new" server to migrate to, you will keep your downtime down and have a way to back out should things go south.
Not totally familier with BES Exchange versions but you may need to get to the most current service pack level on your current BES before you can even consider an inplace migration on the existing server, I think 4.1.7 is the most current.
Are you upgrading to BES 5 since it appears you are also upgrading Exchange? If so then updating to the most current 4.1 is required.
Do you have an support contract with RIM? If not, now might be good time to get it as it enables you to gain the upgrade to 5 and they can offer insight in the options for you.
