What OS are you running on that server?
Are you using SQL Express or a SQL box on your network?
One thing you will have to do is back up every phone, wipe it, restore it, then reactivate to the new BESX. If you have a lot of devices, it's worth the money to upgrade to the full BES5. You can do an in-place upgrade and never have to touch the handhelds.
