iPhone 4 HELP!

My friend offered to report his phone lost to the phone company so that he could give me his iPhone 4 what he currently has and he will get the new one that the phone company send him.
But i have encoutered some problems, can the phone company track the phone even though his sim card is not inside his phone.
Is this possible?
Will they lock the phone?
Will i need to get a iPhone sim card because I hearda a standard sim card cannot fit into a iPhone 4.
If i ask my Phone company for a iPhone sim card what has the same number as my standard sim card will they provide me with one? and if so will they charge me?
